About the Role

Hamilton Beach Brands is seeking a Director, Assistant General Counsel & Assistant Secretary to serve as a senior legal leader and trusted advisor supporting the Company’s corporate, securities, governance, transactional, and compliance matters. Reporting to the Senior Vice President, General Counsel & Secretary, this role will partner closely with senior management, Finance, Accounting, Investor Relations, and cross-functional business leaders to help balance legal risk with business objectives while supporting the Company’s strategic priorities.

The ideal candidate will bring strong corporate and transactional legal experience, sound business judgment, and the ability to operate independently in a fast-paced public company environment. This individual will help manage SEC and NYSE reporting, corporate governance and Board support, strategic transactions, commercial agreements, compliance programs, subsidiary administration, and legal department operations. The role offers meaningful exposure to enterprise-wide initiatives and the opportunity to contribute to the continued development of the Law Department’s processes, systems, and use of legal technology.

This is a hybrid position and is based in our Corporate Headquarters in Glen Allen, Va. This role will report to the Sr. VP, General Counsel & Secretary.


What You’ll Do

  • Lead the preparation and filing of SEC reports (10-K, 10-Q, 8-K), proxy statements, Section 16 filings, and other public company disclosure and compliance requirements.
  • Support corporate governance activities, including Board and Committee meetings, corporate records, governance documents, annual meeting preparation, and subsidiary governance.
  • Partner with Finance, Accounting, Investor Relations, and executive leadership on public company reporting, disclosures, earnings releases, and investor communications.
  • Draft, review, negotiate, and manage a wide range of commercial agreements, including licensing, manufacturing, distribution, purchasing, real estate, technology, and strategic partnership agreements.
  • Lead and support strategic business initiatives, including mergers and acquisitions, joint ventures, licensing arrangements, and other corporate transactions.
  • Provide legal guidance on healthcare privacy matters, including HIPAA compliance, business associate agreements, and related data privacy considerations.
  • Advise business leaders on corporate, commercial, governance, regulatory, compliance, and risk management matters across the organization.
  • Administer and enhance corporate compliance programs, including insider trading, anti-corruption, Code of Conduct, and related training initiatives.
  • Coordinate and manage outside counsel while partnering closely with internal legal and cross-functional business teams to deliver practical legal solutions.
  • Drive continuous improvement within the Legal Department by enhancing processes, implementing legal technologies, and leveraging AI to improve efficiency and service delivery.
  • Perform other duties and special projects as assigned.


What We’re Looking For

  • J.D. from an accredited law school and active license to practice law in at least one U.S. jurisdiction (Virginia licensure or eligibility for Virginia Corporate Counsel registration required).
  • 5–12 years of corporate, transactional, and commercial legal experience, preferably combining law firm and in-house experience.
  • Demonstrated ability to assess legal and business risk, provide practical solutions, and exercise sound judgment in a fast-paced environment.
  • Strong ability to manage multiple priorities independently while collaborating effectively across business functions.
  • Excellent negotiation, drafting, communication, and relationship-building skills, with the ability to explain complex legal concepts to diverse audiences.
  • Experience supporting public company governance and compliance, including SEC reporting, corporate secretary matters, and Board of Directors activities.
  • Ability to interpret financial statements and understand accounting concepts relevant to corporate disclosures.
  • Significant experience negotiating and drafting complex commercial agreements, including licensing, manufacturing, distribution, purchasing, joint venture, and real estate contracts.
  • Experience supporting mergers and acquisitions, including due diligence, transaction documentation, and integration, is preferred.
  • Working knowledge of healthcare privacy laws (including HIPAA), intellectual property, antitrust, environmental, employment, employee benefits, and executive compensation matters.
  • Interest in legal operations, process improvement, and the practical use of technology and AI to improve legal workflows.
