Job description
The Commercial & Contracts Manager is responsible for the overall commercial, contractual, and financial management of a large-scale EPC semiconductor new-build project. This role acts as the commercial interface between the BW Water, the client, and subcontractors, ensuring contractual compliance, cost control, risk management, and protection of the company’s commercial interests throughout the project lifecycle.
The role requires strong EPC contract expertise, experience with complex semiconductor or high-tech construction projects, and the ability to operate effectively in a fast-paced, client-facing environment.
The role will report to the Project Manager
Job requirements
- 10+ years of commercial and contracts management experience on EPC or large construction projects.
- Strong experience managing EPC contracts with major clients.
- Proven background in subcontractor commercial management.
- Experience on semiconductor, high-tech, pharmaceutical, or similarly complex projects strongly preferred.
- Strong understanding of cost control, change management, and claims processes.
- Excellent negotiation, communication, and stakeholder management skills.
Preferred Qualifications
- Experience on large-scale semiconductor fabrication facilities.
- Familiarity with U.S. construction contracts and Arizona project environments.
- Degree in Quantity Surveying, Construction Management, Engineering, Law, or related field.
Job responsibilities
Client Commercial & Contract Management
- Serve as the commercial and contractual interface between the EPC contractor and the client.
- Manage the main EPC contract, ensuring compliance with contractual terms, conditions, and commercial obligations.
- Lead the administration of change management, including variations, change orders, and claims
- Support negotiation of commercial matters with the client, including scope changes, schedule impacts, and compensation.
- Monitor client payments, milestones, and invoicing in accordance with the contract.
- Provide commercial advice to project leadership on risk, entitlement, and contract strategy
Subcontractor & Vendor Commercial Management
- Cooperate in the commercial and contract management for subcontractors and major vendors with BW Water Supply Chain Department.
- Support procurement and contracting strategies for subcontract packages.
- Manage subcontractor agreements, including scope definition, pricing, payment terms, and risk allocation.
- Review and certify subcontractor payment applications.
- Manage subcontractor variations, claims, and dispute resolution.
- Ensure flow-down of client contractual requirements to subcontractors.
Cost Control & Financial Management
- Oversee project cost control, forecasting, and cash flow management.
- Monitor budget performance, committed costs, and cost-to-complete forecasts.
- Identify and mitigate commercial and financial risks and opportunities.
- Support project reporting, including monthly cost reports and commercial dashboards.
- Work closely with project controls, finance, and project management teams to maintain financial discipline.
Risk, Claims & Compliance
- Identify contractual risks and opportunities across the project lifecycle.
- Support preparation, submission, and defense of claims in coordination with legal and project teams.
- Ensure compliance with the contract terms, client requirements, and internal governance procedures.
- Support audits, internal reviews, and contractual compliance assessments.
- Maintain proper contract records, correspondence, and commercial documentation.
Leadership & Stakeholder Engagement
- Act as a trusted commercial advisor to the Project Manager and Project Board.
- Lead and mentor commercial and contracts team members on the project.
- Coordinate closely with engineering, procurement, construction, and document control teams.
