Job Description
The Associate General Counsel will be a member of 1-800-FLOWERS.COM, INC.’s in-house Legal Department representing the company’s enterprise activity and broad portfolio of brands.  The Associate General Counsel will have general corporate and real estate law experience, with extensive experience representing companies with a wide range of matters, including mergers and acquisitions, capital markets transactions and financing transactions.  This role manages and supports client groups by providing practical legal advice and recommendations on day-to-day legal issues. 
Responsibilities include, but are not limited to:
Provides legal counsel on various substantive topics, including but not limited to, corporate law, contract law, real estate law, securities law and other areas pertinent to a major, publicly traded, commercial retail and e-commerce organization.
Responsible for managing mergers and acquisitions activity, including coordinating due diligence, transaction documentation, and working with outside “deal” counsel as appropriate.
Responsible for coordinating and collaborating with business and legal colleagues regarding real estate matters, including negotiating leases.
Responsible for supporting the company’s securities law filings, including all 10-Ks, 10-Qs, proxy statements and Section 16 reports.
Monitors developments, including proposed legislation and court decisions related to corporate governance, executive compensation, public disclosure requirements and financing transactions and evaluates their impact on operations.
Recommends and provides legal advice and support to the company’s investor relations, finance, tax, accounting, and mergers and acquisitions teams in developing routine policy and procedural improvements and providing practical advice in response to rapidly changing conditions.
Works with outside legal counsel and orchestrates legal processes on behalf of the company at the direction of the General Counsel and executive leadership.
Conducts legal research and applies research to facts and communicates the analysis effectively to leadership.
Identifies legal risks and designs plans to mitigate and prevent routine legal risks.
Drafts, reviews, and negotiates a variety of agreements and documents and continuously seeks ways to improve the forms, processes, or systems involved for various business clients including records retention and other projects as assigned.
Collaborates on complex projects and supports others in the Legal Department (i.e. attorneys across the Legal Department to provide meaningful and practical advice and recommendations to clients).
Negotiates with outside parties on contractual issues and legal disputes, including settlement conferences or negotiating key contract terms.
 
Qualifications
 Basis Qualifications
Juris Doctor degree and New York bar admission.
5+ years of relevant experience in a top law firm or mixture of relevant experience in top law firm, corporate legal department setting, and/or government agency.
5+ years of direct experience with public company legal issues, processes and procedures.
Active state bar member in good standing of at least one U.S. jurisdiction.
Must be willing to work in Jericho, New York

Must be willing to work occasional holidays, evenings and weekends as needed
Ability to work independently and collaboratively as part of a team
Ability to work effectively under pressure, managing multiple priorities and conflicting deadlines
Excellent negotiating skills

The expected salary range for this position is $160,000 - $185,000. Actual compensation will be determined based on experience, skills, internal equity, and other factors permitted by law.
