Job Description

Join a team building the infrastructure behind the next generation of financial systems.

We’re hiring a Commercial Counsel to lead contract and commercial legal matters at Dfns. You’ll report to the CEO and work closely with Sales, Product, and Operations to support the company’s international growth. You’ll draft, review, and negotiate commercial agreements with customers, partners, and vendors, including NDAs, MSAs, and product-related contracts. You’ll also develop scalable legal templates and processes, help teams navigate regulatory requirements in fintech and blockchain, and ensure the company can move quickly while managing legal risk. Your goal is to help deals close efficiently while protecting the company’s long-term interests.

Responsibilities

  • Draft, review, and negotiate contracts (NDA, MSA, DPA, partner/vendor agreements).

  • Work closely with sales and product teams to support deal flow and business growth.

  • Oversee the legal aspects of the vendor onboarding process, including conducting KYB.

  • Develop and maintain playbooks, templates, and scalable contract processes.

  • Advise internal stakeholders on contract risks, obligations, and compliance.

  • Ensure alignment with data protection, financial, and crypto regulatory frameworks.

  • Collaborate with external counsel when needed and manage workflows efficiently.

Requirements

  • 6+ years experience in commercial or contracts law, preferably in-house.

  • Admitted to practice law in France.

  • Admitted to practice law in EU and/or US (multi-jurisdictional expertise a plus).

  • Strong track record drafting and negotiating complex B2B commercial agreements.

  • Excellent communication, negotiation, and stakeholder management skills.

  • Pragmatic mindset with the ability to balance speed, risk, and business priorities.

  • Familiarity with financial services and technology companies is preferred.

  • Fluent in English; French and any other language is a plus.

Terms
