Job Description

Job Title:

Legal Counsel

Summary:

In this role you will become an integral part of our regional EMEAI Legal Team, supporting a wide range of legal matters from commercial legal advisory to compliance stewardship. You will provide expert legal guidance to Momentive’s commercial teams and functions across Italy and Europe, helping to ensure compliance with local laws and regulations while enabling business objectives. The role requires strong business acumen as well as a solid understanding of company financials and economic principles.

Responsibilities Include:

  • Provide legal support to regional Sales Teams on customer contracts and commercial legal aspects, including drafting, review and negotiation of customer contracts.
  • Provide legal support to regional customer service teams on general commercial and customer-related legal matters, including customer claims and inquiries.
  • Provide legal support to regional and local Procurement Teams, including drafting, review and negotiation of procurement contracts.
  • Manage corporate law requirements for local Italian group entities.
  • Advise on Italian labor law and partner with local HR team on legal aspects related to HR/employee relations, collective bargaining agreements in Italy.
  • Provide legal advice and support on Compliance and regulatory requirements to Momentive’s business operations in Italy, including Data Privacy Compliance.
  • Manage internal investigation, legal disputes and litigation in Italy and Europe, coordinating with external counsel as needed with the oversight of senior legal team members.
  • Monitor legal and regulatory developments in region and recommend proactive measures.
  • Provide legal support in matters related to Legislative Decree 231/2001, including collaboration with the Supervisory Body (OdV).
  • Support compliance activities and internal reviews in coordination with BoD, HR, EHS and OdV, as applicable.
  • Deliver training and guidance to local and regional teams on legal policies and compliance.
  • Collaborate with global legal teams to align regional practices with corporate standards.
  • Promote a culture of compliance, ethical conduct, and risk prevention across the organization.

Qualifications:

The following are required for the role

  • Education: University law degree; admission to practice law in Italy.
  • Experience: 3-6 years of legal experience in Italy, preferably in a multinational corporate environment or reputable law firm.
  • Skills:
    • Strong knowledge of Italian and European commercial and corporate laws.
    • Expertise in contract negotiation and regulatory compliance.
    • Ability to manage legal risk across multiple jurisdictions in Europe.
    • Excellent communication and stakeholder engagement skills.
    • Business acumen and understanding of financial and strategic priorities in global companies.
    • Excellent Italian and English language skills.
