Responsible for assisting the Hudson Valley Credit Union’s (“HVCU”) Board of Directors (the “Board”) to enhance overall leadership quality, effectiveness, and strategic impact of HVCU’s Board and Supervisory Committee members, Associate Board members, as well as Board-level committee and task force members (together, “Volunteers”) by impacting the Credit Union’s Volunteer recruitment, nominations, elections, and appointment processes.
Committee members should ideally have skills or experience in one or more of the following areas, such as: DEIB, ability to communicate, active listener, strong writer, detail oriented, ability to build, relationship building, rapport, objectivity, observant, ability to recognize strengths and gaps, ability to recognize internal and external biases, strong interviewing skills, human resources, management, administration, organizational development and/or similar areas.
Governance and Leadership
- Effectively help to govern and lead HVCU in constructive partnership with the Board, Board-level committees, Supervisory Committee, CEO, and management.
- Maintain effective relationships with all elements of HVCU’s governance structure (the Board, its committees, Supervisory Committee, the CEO, and management).
- Act at all times in good faith and in a manner that is in the best interests of all HVCU members.
- Ensure that there are clear and agreed upon roles and responsibilities for the Nominations Sub-Committee (the “NSC”) that are regularly reviewed, updated, and approved by the Governance and Nominations Committee (the “GNC”), Board, CEO, and management.
Recruitment, Nominations, Appointments and Elections
- Subject to applicable laws and regulations, and consistent with HVCU’s values and Diversity, Equity, Inclusion, and Belonging (“DEIB”), ensure that HVCU’s recruitment, nominations, appointments, and elections processes and the NSC’s actions are consistent with HVCU’s Bylaws, Charter, and applicable policies.
- Contribute to the development of an informational/application package for Volunteer candidates.
- Work with HVCU’s Volunteers and management to broadly solicit applications.
- Identify potential candidates for Volunteer service.
- Help to manage and ensure a robust candidate vetting process.
- Select final candidates to participate in the vetting.
- Help to confirm final candidates’ qualifications for service and participate in the vetting process, in cooperation with HVCU’s Human Resources department.
- Participate in selecting the final candidates for either appointment or election to Volunteer positions.
Board & Committee Composition & Structure
- Support the GNC’s assessment of the current and anticipated needs for the Board and its composition and structure, as well as all Board-level committees, the Supervisory Committee, and sub-committee members.
- Using HVCU’s Ideal Board and Supervisory Committee Member Profiles, identify and help to appoint or nominate Volunteers.
Board Knowledge & Development
- Support the GNC’s design, implementation and coordination of a formal orientation and onboarding process for new Volunteers in connection with their appointment or election.
Strategic Thinking, Learning & Planning
- Support and participate in a leadership culture that regularly engages in effective strategic thinking, learning and dialogue.
- Encourage the establishment of a clear vision and mission for HVCU, along with a regularly updated set of strategic goals, objectives, and metrics of success.
- Demonstrate personal and sustained commitment to HVCU’s cooperative and not-for-profit values.
General Duties
- Support regular reports to the GNC and Board on the NSC’s deliberations, nominations, and recommendations.
- Regularly review and update the Credit Union’s practices regarding Volunteer recruitment, nominations, appointments, and elections, and suggest improvements as needed to the GNC and the Board.
- Periodically review and update Board-level policies, such as Volunteer recruitment, nominations, appointments, and elections, and suggest improvements as needed to the GNC and the Board.
- Participate in other committees, as appropriate, and when requested.
