Key Responsibilities

 

  • Independently draft and review complex commercial and healthcare-related agreements, including purchase agreements, employment and independent contractor agreements, vendor and services agreements, payer and provider contracts, and internal corporate policies.
  • Lead and oversee negotiations with contractors, vendors, and other parties to ensure deals are closed efficiently, with a high degree of independence and on favorable terms.
  • Conduct contract analysis and manage agreement workflows in a contract lifecycle management system.
  • Develop and implement contract templates, playbooks, and fallback positions to optimize the contracting process.
  • Partner with business stakeholders to gather necessary input, advise on contractual risk, address concerns, and align contract terms with business goals.
  • Ensure legal documents comply with applicable federal, state, and local healthcare regulations and laws, such as Stark Law, Anti-Kickback Statute, False Claims Act, Medicare/Medicaid billing and reimbursement rules, HIPAA, and other state and federal privacy laws.
  • Interpret complex regulatory frameworks and provide practical, business-oriented compliance solutions.
  • Build and maintain strong internal client relationships based on responsiveness, sound judgment, and high-quality legal work.
  • Carry out additional legal duties as assigned to support the organization’s needs.

  

Qualifications

  • Juris Doctor (J.D.) degree from an accredited U.S. law school.
  • 3-6 years of relevant experience practicing law in a firm or in-house legal department, with substantial experience in contract drafting and negotiation.
  • Admission to any U.S. state bar and ability to obtain additional admissions as required.
  • Demonstrated ability to independently manage matters and client relationships.
  • Strong analytical, drafting, communication, research, and organizational skills.

Experience with healthcare law, or corporate transactions preferred.
