The Commercial Contracts Manager plays a critical role within IREN’s project management team, supporting the successful development and execution of the Company’s data center infrastructure construction projects. This position leads the structuring, negotiation, drafting and administration of commercial agreements that underpin IREN’s project delivery and infrastructure expansion initiatives across multiple jurisdictions.

 

Operating within a capital-intensive, fast-scaling environment, this role works cross-functionally with project development, construction, procurement, finance, operations, and legal teams to ensure contracts are commercially sound, operationally aligned, and structured to appropriately allocate risk.

 

The Commercial Contracts Manager serves as the primary commercial interface between the project management team and the Company’s internal legal team, ensuring commercial objectives are achieved while maintaining alignment with corporate governance standards, regulatory requirements, and enterprise risk management frameworks. This role contributes to the establishment of disciplined commercial contracting processes that support scalable growth.

Job requirements

  • Bachelor’s degree in Business, Construction Management, Engineering, Law, Finance, or related field.
  • 7+ years of experience in commercial contract management, project development, project management or construction in infrastructure or large-scale construction.
  • Strong experience negotiating construction, purchase or large-scale vendor agreements.
  • Solid understanding of risk allocation in construction projects, including indemnities, limitation of liability, liquidated damages, performance guarantees, change management, and termination provisions.
  • Familiarity with data center, energy, utilities, or HPC infrastructure projects highly desirable.
  • Ability to interpret technical, engineering, and financial inputs and translate them into commercially sound contractual terms.
  • Strong commercial acumen and project-oriented mindset.
  • Strong understanding of corporate governance, risk management principles, and structured approval processes within a capital-intensive environment.
  • Excellent negotiation, stakeholder management, and communication skills.
  • High attention to detail with strong organizational and documentation capabilities.
  • Experience with contract lifecycle management (CLM) systems and project governance tools.
  • Ability to manage multiple concurrent projects in a fast-paced, growth-oriented environment.
  • Willingness to travel occasionally to U.S. project sites.

Job responsibilities

  • Draft, review, and negotiate a broad range of commercial agreements supporting development and construction projects, including EPC agreements, construction contracts, equipment supply agreements,  NDAs, and strategic vendor contracts.
  • Support the VP, Project Development and broader project management and construction teams in structuring contractor scope and commercial terms for construction projects.
  • Identify commercial, financial, regulatory, and performance risks within contracts and propose practical mitigation strategies aligned with project and corporate objectives.
  • Lead commercial negotiations with contractors, suppliers, utilities, and strategic partners across multiple jurisdictions.
  • Partner closely with regional project managers to ensure contractual obligations align with project scope, timelines, budgets, and performance milestones.
  • Serve as the primary commercial liaison to the Company’s internal legal team, ensuring appropriate review and approval of non-standard terms, material deviations, and elevated risk positions.
  • Ensure contracts adhere to approved legal templates, fallback positions, and corporate risk guidelines.
  • Escalate material legal, financial, or governance matters in accordance with established approval thresholds and corporate frameworks.
  • Develop capital contracting strategies (packaging approach, risk allocation philosophy, bid structuring)
  • Conduct market analysis to assess contractor capacity and competitiveness - identify gaps and support sourcing/onboarding of new contractors in partnership with Procurement
  • Strengthen post-award contract management - streamlining processes around change orders, disputes/NCRs, commercial close outs and post mortems 
  • Support development of commercial KPIs and methods evaluate contractor performance - creating feedback loop for future sourcing and contracting strategy.
  • Oversee contract lifecycle management including tracking and stewardship of key commercial terms, milestones, change orders, claims, amendments, renewals, and dispute provisions.
  • Support RFP development, bid evaluations, and vendor selection processes from a commercial and risk management perspective.
  • Maintain organized and audit-ready contract documentation to support global reporting, compliance, and governance requirements.
  • Contribute to the development and continuous improvement of project management commercial policies, controls, and best practices across the Company.
