Position Summary
The Junior Attorney – MSA Review & Corporate Contracts independently
reviews, negotiates, and advises on the organization’s contractual portfolio,
with a primary specialization in Master Service Agreements (MSAs). This
position provides direct legal counsel to internal stakeholders, leads MSA
negotiations, ensures contractual compliance, and mitigates legal risk through
both independent analysis and the strategic use of AI-enabled contract review
and document analysis tools.
Key Responsibilities
Contract Review & Administration
- Independently
review, analyze, negotiate, and provide legal opinions on MSAs and related
contracts, applying both substantive legal analysis and AI-enabled
contract analysis tools to identify legal risks, compliance issues, and
deviations from company standards. - Draft,
revise, and manage amendments, addenda, and related contractual documents. - Leverage
AI software for clause identification, risk flagging, contract
comparisons, and summarization, applying independent legal judgment to
validate outputs, identify gaps, and translate findings into actionable
legal recommendations. - Provide
legal counsel and contract support for standard corporate agreements,
including non-disclosure agreements, marketing agreements, independent
contractor agreements, employment contracts, and non-compete agreements. - Support
the full contract lifecycle, including intake, review, coordination,
execution, renewal tracking, and version control. - Complete and process all necessary vendor
forms and questionnaires required for new customers - Manage
customer requests for certificates of insurance and working with the
company’s insurance agent to ensure compliance with specific insurance
language - Collaborate
with the Sales team and Contract Manager to review and document discount
pricing structures
Legal Collaboration & Risk Management
- Serve
as primary legal point of contact for internal stakeholders, providing
independent legal opinions, contract summaries, risk assessments, and
compliance recommendations informed by both substantive legal analysis and
AI-assisted review. - Lead
and participate in contract negotiations, preparing and managing redlines,
advising on legal positions, tracking revisions, and coordinating
approvals across business units and outside counsel. - Lead
ethics and compliance initiatives related to contractual obligations, data
governance, and applicable regulatory requirements.
Corporate Governance & Compliance Support
- Draft,
review, and advise on corporate documents for entities including
corporations, LLCs, and partnerships. - Oversee
and advise on business entity formations, filings, and ongoing compliance
requirements. - Support
licensing renewals and maintenance of corporate registrations. - Research,
analyze, and advise management on new legislation and regulatory
developments impacting contractual and business operations.
Document & Data Management
- Maintain accurate and organized
contract records and related correspondence in accordance with legal,
regulatory, and company standards. - Manage
the full lifecycle of customer contracts, including drafting, review,
execution, renewal, and closeout. - Utilize virtual data rooms,
contract management systems, and AI-enabled platforms to upload, organize,
analyze, and secure legal documentation. - Ensure contracts and supporting
documents are readily accessible for audits, due diligence, and internal
review. - Facilitate customer onboarding by completing
required documentation, vendor forms and questionnaires per customer
request.
Skills & Qualifications
- Deep
understanding of contract law principles, commercial transactions, and
corporate legal practices, with specialization in MSA drafting,
negotiation, and risk analysis. - Experience
or demonstrated ability to work with AI-enabled contract review, document
analysis, or legal technology platforms. - Ability
to independently interpret, validate, and act upon AI-generated contract
insights, applying independent legal judgment to formulate legal strategy
and client-ready recommendations. - Exceptional
attention to detail and strong analytical skills. - Excellent
written and verbal communication skills. - Strong
organizational, multitasking, and time-management abilities. - Proficiency
in Microsoft Office Suite; experience with contract management systems and
virtual data rooms preferred.
Education & Experience
- Juris
Doctor (J.D.) from an ABA-accredited law school required; active bar
admission in the relevant jurisdiction required or eligibility to sit for
the bar exam. - 0–3
years of experience in commercial contracts, with a focus on MSA drafting,
review, and negotiation in a corporate or law firm environment strongly
preferred. - Experience
working in a technology-enabled legal environment, including use of
AI-assisted contract review platforms and contract lifecycle management
systems, is a plus.
