The Corporate Commercial Paralegal provides high-level legal and administrative support to the Corporate Head Office of West Edmonton Mall, with a primary focus on corporate, commercial, and transactional matters. This role supports internal Leasing Counsel and senior stakeholders across the organization and requires a highly organized, detail-oriented professional who thrives in a fast-paced, deadline-driven corporate environment.
We are seeking an energetic, professional, and team-focused individual with strong judgment, excellent attention to detail, and the ability to manage multiple complex files simultaneously.
PRIMARY RESPONSIBILITIES:
- Assist with the review, analysis, and drafting of commercial agreements, including but not limited to service agreements, purchase and sale agreements, loan and financing documents, NDAs, amendments, and other corporate and commercial contracts.
- Prepare revisions, schedules, and ancillary documents in accordance with negotiated terms and instructions from Leasing Counsel and internal stakeholders.
- Coordinate transactional and post-closing matters, including tracking deliverables and ensuring timely receipt and organization of finalized legal documentation from internal and external parties.
- Prepare and maintain comprehensive closing books and electronic filing systems.
- Draft and prepare corporate records and filings, including incorporations, amendments, revivals, dissolutions, share transactions, reorganizations, and related corporate documentation.
- Conduct corporate due diligence, minute book audits, and corporate registry searches; compile findings and assist with follow-up requirements.
- Maintain and update corporate minute books, records, and internal databases to ensure accuracy and compliance.
- Manage corporate registry filings and liaise with external service providers, registries, and legal professionals as required.
- Provide administrative and paralegal support including drafting correspondence, organizing records, scanning and filing documents, and responding to internal and external legal inquiries.
- Assist with ongoing corporate governance and compliance initiatives as directed.
DESIRED QUALIFICATIONS:
- Minimum of five (5) years of experience in a corporate commercial legal environment as a Paralegal or Legal Assistant.
- Post-secondary education in Paralegal Studies, Legal Assistant, or Business Administration is preferred.
- CORES Level II is required; CORES Level III is considered a strong asset.
- Proven experience supporting Corporate Leasing Counsel, Executives, Ownership groups, and senior management.
- Highly professional demeanor with strong interpersonal and client-service skills.
- Exceptional organizational and time-management skills with the ability to prioritize competing deadlines.
- Demonstrated ability to work independently, exercise sound judgment, and adapt quickly in a dynamic corporate setting.
- Proficiency with Microsoft Office (Word, Excel, Outlook) and the ability to learn new legal and corporate software systems.
